LyonLoan Terms and Conditions

1.1. Lyon Investment And Industries Private Limited (hereinafter referred to as "Company", "We", "Us", "Our") is a Non-Banking Financial Company (NBFC) incorporated under Indian law and registered with the Reserve Bank of India (RBI). Our registered office address is: 202/203, Magnum Opus, Shantinagar Industrial Estate, Vakola, Santacruz East, Mumbai City, Maharashtra 400055.

1.2. These Terms and Conditions (hereinafter referred to as "Terms") apply to your access and use of the "LyonLoan" mobile application (hereinafter referred to as the "Application" or "App") provided by us and all loan-related products, services, content, and features offered through the App (collectively referred to as the "Services").

1.3. You acknowledge that by registering for, accessing, or using the Services, you have read, understood, and unconditionally agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not access or use the App and Services.

1.4. We reserve the right to modify or update these Terms at any time. All modifications will become effective upon posting within the App or notification to you through other appropriate means. You are responsible for reviewing these Terms periodically. Your continued use of the Services after the effective date of any modifications constitutes your acceptance and agreement to such modifications.

2.1. To use the Services, you must meet all of the following conditions:

1. Be a resident of India;
2. Be between 18 and 60 years of age;
3. Have full legal capacity to enter into a contract;
4. Possess a valid PAN card and Aadhaar card;
5. Possess an active Indian mobile number and a valid email address;
6. Have an active savings account with at least one Indian bank;
7. Meet any other eligibility criteria we may set from time to time for specific loan products.

2.2. You declare and warrant that all information provided by you during registration and application (including personal, contact, financial, and employment information) is true, accurate, complete, and up-to-date in all respects. You are obliged to update your profile promptly upon any change in such information.

2.3. We reserve the right to request additional documents or information from you at any time to verify your identity, address, income, or other eligibility criteria.

2.4. You may only apply for a loan for yourself (as an individual) and not on behalf of any third party.

3.1. Loan Products: We offer personal loan products through this App. The loan amount, tenure, interest rate, charges, and other terms (collectively referred to as "Loan Terms") will be clearly displayed during the loan application process and specified in the Key Fact Statement (KFS).

3.2. Application Process:

1. You submit a loan application within the App.
2. You authorize us to access, collect, verify, and use your information (as described in Clause 4) for credit assessment and risk-based pricing.
3. We will evaluate your application based on our internal policies and applicable laws.
4. Approval or rejection of a loan application is entirely at our discretion. We are under no obligation to provide reasons for rejection.

3.3. Disbursement: Upon your acceptance of the Loan Terms and fulfillment of all pre-disbursement conditions, the loan amount will be transferred directly to your designated bank account as per the agreed terms. Disbursement time may be subject to bank processing times.

3.4. Service Area: Our Services are currently offered only within India. You declare and warrant that you are located within India while applying for and using the Services.

4.1. Information Collection and Use: You consent to our collection, storage, processing, and use of your personal, financial, and device information in accordance with our Privacy Policy (accessible via the App).

4.2. Credit Information Inquiry: You hereby expressly agree and authorize us and our designated third parties (including but not limited to credit information companies such as CIBIL, Equifax, Experian, CRIF High Mark) to access, obtain, and process your credit information report, credit score, and any other relevant financial information for the purpose of evaluating your loan application, determining Loan Terms, and ongoing risk management.

4.3. Contact and Communication: You agree that we may contact you via phone, SMS, email, in-app notifications, or other electronic means regarding matters related to the Services, including but not limited to application status, repayment reminders, marketing information (you may opt-out of marketing communications at any time), and collection communication.

4.4. Information Verification: You authorize us to verify the information provided by you from any third party, including government databases, banks, and employers.

5.1. Interest Rate: The loan interest rate will be clearly stated in the Key Fact Statement (KFS), typically expressed as an Annual Percentage Rate (APR). The rate is determined based on factors including your credit profile, loan amount, tenure, and market conditions, and complies with RBI guidelines.

5.2. Fees: Charges associated with the loan may include, but are not limited to, processing fees and late payment penalties. All applicable charges will be clearly listed in the Key Fact Statement (KFS).

5.3. Repayment Schedule: You agree to repay the loan as per the repayment method and dates specified in the Key Fact Statement (KFS). Repayment is typically a single lump-sum payment upon maturity.

5.4. Late Payment: If you fail to make any payment on or before the due date, we will charge a late payment penalty as per the Key Fact Statement (KFS) and may report the delinquency to credit information companies, which may negatively impact your credit score.

5.5. Prepayment: Terms for partial or full prepayment (including any applicable prepayment charges or discounts) will be specified in your Key Fact Statement (KFS).

6.1. You agree to:

1. Provide true, accurate, and complete information.
2. Keep your login credentials (username, OTP) secure and are responsible for all activities conducted through your account.
3. Repay the loan in a timely manner.
4. Comply with all applicable Indian laws and regulations.

6.2. You agree not to engage in the following:

1. Provide false, misleading, or incomplete information.
2. Use the Services for any illegal or fraudulent activities.
3. Attempt to gain unauthorized access to the App, other users' accounts, or our systems.
4. Interfere with or disrupt the normal operation of the App, servers, or networks.
5. Use the Services for non-personal consumption purposes (e.g., business speculation).
6. Copy, modify, distribute, or reverse-engineer any part of the App.

7.1. All ownership, copyright, trademarks, and other intellectual property rights in the App and all its content and features (including but not limited to text, graphics, logos, icons, images, audio clips, software) belong to the Company or its licensors.

7.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for the purpose of using the Services. These Terms do not grant you any intellectual property rights.

8.1. As Is Basis: The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we expressly disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2. Service Interruption: We do not warrant that the Services will be continuous, uninterrupted, timely, secure, or error-free. We may suspend or interrupt the Services for maintenance, upgrades, or other reasons.

8.3. Limitation of Liability: In no event shall the Company, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Services, including loss of profits or data, even if advised of the possibility of such damages.

8.4. Notwithstanding the foregoing, our aggregate total liability in any circumstance shall not exceed the total fees paid by you to us in the specific loan transaction giving rise to the claim.

9.1. The occurrence of any of the following events shall constitute a default:

1. Your failure to pay any amount when due;
2. Any representation or warranty made by you under these Terms proves to be untrue or inaccurate;
3. You breach any other provision of these Terms;
4. You become insolvent, die, or are declared mentally incompetent.

9.2. Upon occurrence of a default, we shall be entitled to take any one or more of the following measures:

1. Declare all outstanding loan principal, interest, and charges immediately due and payable;
2. Report the default to credit information companies;
3. Initiate recovery proceedings through our internal team or by engaging a third-party agency;
4. Take any other remedial action as permitted by law.

9.3. Our recovery actions will comply with applicable laws and RBI guidelines on fair practices code.

10.1. You may terminate your account at any time by providing written notice to us and repaying all outstanding dues.

10.2. We may, at our sole discretion, suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, or for any other legitimate business, legal, or regulatory reason.

10.3. Upon termination, your right to access the Services ceases immediately. Termination does not affect any rights and obligations that arose prior to termination (especially repayment obligations), and clauses that by their nature are intended to survive termination (such as Intellectual Property, Disclaimer, Limitation of Liability, Governing Law, etc.) shall continue in effect.

11.1. These Terms and your relationship with us shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

11.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved amicably through mutual negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts located in the city of our registered office (Mumbai).

11.3. You agree that, unless prohibited by law, any claim or cause of action must be brought within one (1) year from the date the event giving rise to such claim or cause of action occurred, or be forever barred.

12.1. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible in that jurisdiction, and the remaining provisions shall remain in full force and effect.

12.2. Force Majeure: We shall not be liable for any delay or failure in performance resulting from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, epidemics, government acts, or failure of electricity or telecommunications.

12.3. Assignment: You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms, along with your information and loan account, to an affiliate or any successor entity (e.g., due to a merger, acquisition, or sale of all or substantially all assets) upon notice to you.

12.4. Entire Agreement: These Terms, our Privacy Policy, and any Key Fact Statement (KFS) you accept constitute the entire agreement between you and us regarding the subject matter of the Services and supersede all prior oral or written agreements.
